These Terms of Use and End User License Agreement (“Terms of Use”) govern your use of our online interfaces and properties (e.g., websites and mobile applications) owned and controlled by Trakalarm (“Trakalarm,” “we,” or “our”), including the www.Trakalarm.com website and the Trakalarm mobile application (the “Site”), as well as the services (“Services”) available to users through the Site. By downloading, installing, accessing or using the Site, you will be bound by these Terms of Use and our Privacy Policy. If you do not agree to these Terms, Trakalarm is not willing to grant you any right to use or access the Site to you. In such an event, you may not download, install, access, use, or copy the Site.
The Site is licensed to you, not sold. Except for the limited license granted in these Terms of Use, Trakalarm and its licensors retain all right, title and interest in the Site and all proprietary rights in the Site, including copyrights, patents, trademarks, and trade secret rights.
These Terms provide that BINDING ARBITRATION will resolve all disputes between you and Trakalarm. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under this contract, except for matters that may be taken to small claims court. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be brought as a class action. Please review the “Dispute Resolution and Arbitration” section below for the details.
The parties hereby agree as follows:
1. Trakalarm Service Overview and Software License
The Trakalarm Service provides an additional avenue for registered individuals to communicate with and receive certain information from participating organisations regarding safety, emergency response services, public health, and other services. If you use the Service to send emergency and general interest notifications and updates you are a “User.”
Grant of License. Trakalarm grants you a revocable, nontransferable, personal, nonexclusive license to use the object code version of the application portions of the Site for use on your mobile device and the products you purchase from us.
Limitations On License:
- Limitations on Copying and Distribution. You may not copy or distribute the Site except as necessary.
- Limitations on Reverse Engineering. You may not reverse engineer, decompile, or create works derivative of the Site.
- Sublicense, Rental and Third Party Use. You may not assign, sublicense, rent, or lease the Site.
- Proprietary Notices. You may not remove any proprietary notices from the Site.
- Confidentiality. You must hold the application in strict confidence for your own use only.
- Compliance with Applicable Law. You are solely responsible for compliance with all applicable laws.
2. No Medical Advice
Trakalarm does not provide medical advice or care. Emergency Service Providers are not contracted or employed by Trakalarm. The Emergency Service Providers, and not Trakalarm, are responsible for the quality and appropriateness of the care they render to you.
The Emergency Service Providers are independent of Trakalarm. Any information or advice received from an Emergency Service Provider comes from them alone, and not from Trakalarm. Your interactions with the Emergency Service Providers via the Site are not intended to take the place of your relationship with your regular health care practitioners.
3. Payment
Access to the Service, or to certain features of the Service, may require you to pay fees. All fees are calculated in U.S. Dollars, converted to your local currency and are non-refundable. Trakalarm may change the fees for the Service on a going-forward basis at any time. Trakalarm will charge the payment method you authorise at the time of purchase.
If you purchase a subscription to the Services through the Site, your subscription is continuous and will be automatically renewed at the end of the applicable subscription period, unless you cancel your subscription before the end of the then-current subscription period by emailing admin@trakalarm.com.
4. Prohibited Conduct
BY USING THE SERVICE YOU AGREE NOT TO:
- Use the Service for any illegal purpose.
- Violate any right of a third party, including intellectual property.
- Post content that is unlawful, defamatory, libelous, or inappropriate.
- Interfere with security-related features of the Service.
- Interfere with the operation of the Service or any other user’s enjoyment (e.g. viruses, spam, or illicit data collection).
- Perform any fraudulent activity including impersonation.
- Sell or transfer your granted access to the Service.
5. Termination, Modifications, and General Use
Termination: If you violate any provision of these Terms, your permission to use the Service will terminate automatically. Trakalarm may in its sole discretion terminate your usage at any time. You may terminate your account at any time by contacting admin@trakalarm.com.
Third-Party Services: Linked websites and third-party tools are not under our control, and we are not responsible for their content.
Ownership: The Service, visual interfaces, graphics, design, and computer code are owned and operated by Trakalarm and protected by intellectual property laws. Any feedback you provide will be the sole property of Trakalarm.
6. Disclaimers & Warranties
Use of the service does not constitute an agreement between you and other users. Trakalarm is not responsible for the actions of your emergency contacts, or other users. Trakalarm does not guarantee delivery of any message...
The Trakalarm entities disclaim all warranties of any kind, whether express or implied, relating to the service and all materials... including implied warranties of merchantability, fitness for a particular purpose, non-infringement, etc.
7. Limitation of Liability
In no event will the Trakalarm entities be liable to you for any indirect, incidental, special, consequential or punitive damages... You agree that the aggregate liability of the Trakalarm entities to you is limited to the greater of: (A) the amount you have paid to Trakalarm in the 12 months prior; or (B) $100.
8. Dispute Resolution and Arbitration
Generally: In the interest of resolving disputes between you and Trakalarm in the most expedient and cost-effective manner, you and Trakalarm agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT YOU AND TRAKALARM ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Enforceability: If the arbitration terms are found to be unenforceable, the parties agree that the exclusive jurisdiction and venue for any claims will be in state or federal courts located in Brisbane, Queensland.
9. Mobile Messaging & Monitoring Terms
By consenting to Trakalarm’s MMS/SMS/text messaging service, you agree to receive recurring messages from and on behalf of Trakalarm. We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider.
Trakalarm is committed to being compliant with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (“CAN-SPAM ACT”) and the Telephone Consumer Protection Act (“TCPA”). You may opt-out of the Service at any time by clicking the unsubscribe link (where available) or replying STOP.
